SHOP HOUSE RENT
AGREEMENT
HABIBUR RAHMAN, son of late Munshi Rashid, 40/4, (a) Nardda,
Eastpara, Masjid Road, Gulshan, Dhaka-1212. Owner Quick Photo Studio and Lab of
which holding No. 30 (Shezad
Plaza) Shop No. 24,25,26
and 27. North Avenue,
Gulshan-2, Dhaka-1212 is the possession of the shop house.

Party.
MD. SALAUDDIN SARKER, son of late Mohammad Ali Sarker, Permanent Address –
Village – Bashvagh, Post Office – Patul, Police Station – Natore, Dist and
Upazila – Natore, Present Address – Holywood Picture Studio, Gulshan Circle-2,
Land View, Commercial Centre.
-----The Tenant 2nd
Party.
Situation
of the shop house is on the ground floor of which at present (Shezad Plaza) Shop No. 24,25,26 and 27, Holding No. 30, North Avenue,
Gulshan-2, Dhaka-1212. Agreement Deed of
this shop house that I am the owner/1st party is the owner
possession holder of the shop house and being the same I was wanted to do rent
it to an honest business person and you are the 2nd party was heard
it and was wished to take it rent and the 2nd party was took rent of
the shop house and the 1st
part from the previous period of Quick Photo and Lab for the type of business the 1st party was doing business
as Photo Color Lab. Just same kind of business and at present in the running
condition Quick Photo Studio and Lab of its good will and including of it and
with full running stage and the full of the machinery and including the
decoration, here the word remains that in the shop (show case), rack, goods are
sold by the own money of the 2nd party and P.P. Printer and F.P.
Film Processor and this of 2(two)
machine, there will be bought by the L/C of the 2nd party and will
be kept by own responsibility and after end of the duration, he could be taken
of the machine. Other goods or bought of his goods could be kept ( After deduct
of office and in own part bought own taka or by own capital is herewith for to
run of the business or as rent basis). The 2nd party will run of the
business and on today with the presence of the witnesses, both the parties with
the following terms and conditions, there Deed of Agreement is performed.
TERMS AND CONDITIONS
1.
Duration of this
contract would be started from the 31st March 2002 and will be
effected upto five years that means on the dated 31st March, 2007
will be ended.

2.
The rent of the
said shop house would be paid from the dated 1 to 7 for each month. Otherwise,
for every day, there will be paid 1,000/- (one thousand) taka should be bound
to pay to the 1st party by the 2nd party and if be paid
any kind of cheque and if be happened
dishonor of this cheque, there will be given cash money to the 1st
party in later period and the cheque would be returned. In this manner if this
cheque be happened dishonor for three consecutive time, then the 1st
party could be made terminate of the tenant and this Agreement shall be made
invalid. The rent of the shop house is
fixed as monthly 2,00,000/- taka and the tenant 2nd party has agreed
to take the shop with this rent. At the
end of the contract period of the shop house, the 2nd party will
made understand of the goods for the shop of Quick Photo Studio as the manner
which he was took (all kinds of good) just by this manner and should be bound to do it. After end of the
contract, there will be rented it again as per of the market rate. It is
mentioned that there will be given preference to the 2nd party.
3.
The 2nd
Party is not giving any kind of advance money to the 1st party or
the 1st party is not taking any kind of advance money. For only the
cause is that when the new machine will come and then the 1st Party
will be taken of the old machine or if be sold, the 1st party will
be taken of sold received money.
4.
The 1st
Party owner the schedule described shop (Shezad Plaza) market shop No. 24,
25,26 and 27 of its rent the 1st party own shall be borne as before
and the Analog Phone to which date is remains, the 2nd Party could
be use it with free service. There could be received of the I.S.D. Phone and
I.S.D. Phone Bill would be taken by the 1st party. And rest all of
the Govt. and Non-Govt. and Quick Photo Studio Lab or its all of the expenses
shall be borne by the 2nd party and to the old and new staffs salary
and other expenses shall be borne with all of their good and badness and
keeping the staffs depends upon the 2nd party.
5.
The Tenant 2nd
party in any stage the schedule
described shop could not be established
any sublet. The 2nd party Tenant could not be made any kind of
damage or not to be any kind of change. If
be wanted any kind of change, then the 1st party, there would
be taken for the written permission of the owner.
6.
The 2nd
party Tenant as per only of the contract, at present Quick Photo Studio and Lab
business could be done. Of which Photo and Photo equipment, studio materials
such as : Camera, Battery, Film, paper and
Photo Chemical of its goods could be done of retail and wholesale. The 2nd
party could not to be made any kind of business. It is more mentioned that if
any body does for any illegal business, the 2nd party will be solely
responsible and will be legally punished.

7.
The owner 1st
party at present Quick Photo Studio and Lab of its full Machinery and Equipment
such as : 1 Laminating Machine 13 Inches and more 1 piece of 26 Inches,
Computer (Pentium-3) 1 set, Air Condition 5 Ton 1 piece and 4 Ton 1 Piece,
Studio Room Flash Light 4 Pieces, Studio Camera Asseler 5 set, 4 pieces Inage
Stand (Polaroid) Camera 2 screens, 5 Bag Pruned Screen, Slight Copier 1 piece,
Telephone (I.S.D.) 1 piece, Digital 1 piece, analog 1 piece in total = 3 set, six
forty enlarger 2 piece, water pump 1 piece, upper A/C, 2 Ton 2 Blower set ( boiler of which two shop jointly used)
etc. in the running stage, the 2nd party will be used.(TNT Inform)
and at the end of the contract, full of the materials there would be bound to
make understand to the 1st party. because the owner of these goods
are the 1st party. It is more mentioned that the Machinery and
Equipment, if be needed for any kind of erection, the 2nd party
Tenant by its own cost should be bound to make erection of it.
8.
In the shop of
the 1st party of which Quick Photo Studio and Lab on the last days
of the different customer's taken photo negative C Serial from the Book No. 1
and upto 75,000 thousands and Q.P. Serial 9,000 thousand at present is
deposited. Of which in each serial average 85,000 thousand adding from 1 to 5,6
expose approximately 2,50,000/- thousand expose at present is deposited
and it is more mentioned that from the first day of this
contract and upto the last days, the negatives of those photograph, if be take
again for a new by the 2nd party, all of the negative at the end of
duration, the 2nd party will be made understand with new and old and
shall be bound to do it.
9.
In the inner side
of the studio of the 1st party for which furniture, Decoration and
around the side, those goods are remaining with Thai Aluminum, those will
rightly in that place.
10.
For any kind of
negligence of the 2nd and if
be happened any kind of Fire Catch and if be damaged for the same, the 2nd
party tenant will fully be liable for it.
11.
The 2nd
party Tenant from the beginning day of the contract and upto the last day and
if be made any kind of personal or
business transaction or debt-loan and for it will be fully responsible by the 2nd
party. Business profit and loss shall be fully enjoyed by the 2nd
party.
12.
Through this Deed
of Agreement at any stage the tenant schedule described shop would be made any
kind of possession owner. In all the cases, the Tenant would be treated as the
common terminable tenant.
13.
The Tenant 2nd
party would be obeyed all of the rules and regulations of the market.

14.
The 2nd
Party Tenant, Quick Photo Studio and Lab of all of its Electrical Bill
(including upper) Water Bill, Vat, Tax all of its Bill will be paid and at the
end of paying all of the documents would be made understand to the 1st
Party.
If be made
break any of the above mentioned terms and conditions, this Agreement shall be
come to invalid and cancel and would be disconnected for the relation of Tenant with the 1st party and the 2nd
party and the 2nd party will be made compensation and will be
legally liable of the 2nd party and must be terminated from the
studio house.
Therefore, in self-willing, in full of sense and after
agreed to fill up of the terms of this Deed and the 1st and 2nd
party were put of the signature.
