TERMS AND CONDITIONS
01. On today
the dated : 09/10/2005 AD, we are the parties were taken decision to start a
partnership business after came to a compliance.
02. The name of
the partnership organization is THREE EYE INTERNATIONAL.
03. Address of
the Organization at 187/1, West Shewrapara,
Mirpur, Dhaka-1216.
04. The First
Two Parties will be made investment for all the capital and the preliminary
capital will be more or less Tk.50,00,000/- (Fifty Lac) taka only and in later
period due to the fact of discussion, there could be made capital more or less
and the
increased
capital will be made investment by the first two parties. It is expressed that
the preliminary capital from which 70% will be supplied the Mr. Mahiul Islam
and 30% will be supplied by Mr. Siddikur Rahman.
05. In the name
of the business organization, in any nationalized or schedule bank, there could
be run one or more account by it and the said bank account will be conducted by
the first party Mr. Mahiul Islam.
06. The account
of the said business organization, the first two parties could be maintained
and at the end of the year, there will be performed of the final account and
would be put signature in it.
07. Income Tax
of the said business organization would make provision before distribution of
the dividend.
In the aforementioned
matter, specially after bought of the car, if there is found any kind of fault
error in the documents and if be found any kind of fraudulent that will fully
be borne by the second party and shall be bound to make solution. For the error
of the documents any
kind of problem shall be
bound by the second party and will be made solution of it. For it, if there is
made any kind of monetary loss, the second party shall be bound to bear of it.
Preliminary Agreement value
of the Car within is taka 5,000/- (five thousand) to 10,000/- (ten thousand)
taka that will be made transaction by
the two second parties.
At the time of taking
delivery with the presence of the first two parties and through the first two
parties, there could be made transaction. Documents of the car in the name of
the first two parties and could be made as per wish. In same of the matter
while selling of the car and as per agreement value taka 5,000/- (five
thousand) to 10,000/- (ten thousand) and within of it, the two second parties
could be made the acceptance. During the period of final delivery, in presence
of the two parties, there would be given and the two parties will be taken
understand of the full money.
With
the compliance of the first and second party, there would be selected of the
office and the car-keeping place. Advance money of the office, Office Rent,
Office Expense, Car Finding Expense and Car maintenance cost at the end and the
said office and car related full expense, there would be borne by both of the
party.
After
fully sold of the car and after made account of it and deduct the capital which
will be he dividend and from it after deduction of the expense, rest of the
profit will be distributed equal in between of the parties (that means dividend
50% for the first two parties and 50% for the second two parties). If there is
occurred of the loss, then 50% of the loss by the first part and 50% by the
second party.
The
first two parties for to his family use, from the business car, there would be
use one of the car. During the period of family use of the used car, if there
is occurred any kind of loss damage that will be fully borne by the first
party.
During
the period of bought of any car, there would be bought through the opinion by
both of the party. In same of the manner, at the time of sale, there would be
sold through the compliance by both of the party.
The first two parties and
the second two parties were made of their oath in the name of the Allah and no
body would not be made hidden any thing in relation of the business and no body
would not be try to make a cheating of other. If there is found any dis-opinion between of the parties and if
be wanted to leave the business by any party, then the deposited all of the
accounts of car sale to be made understand each other and will be left. If
there is found any kind deviation of opinion that will be made forward to the
arbitration and through this arbitration will be made solution of it.
We
are both the parties, after read out of the above mentioned discussion and
after under about the ground of it and in full of knowledge, in perfect brain,
without influence of others and in front of the witnesses were signed of own
name.
