THESE PRESENT SHALL COME that I, (a) MOHAMMAD RAFIQUL AMIN, Chairman,
Softalk Online (Pvt.) Ltd., Address : National Scout Bhaban, 12th
Floor, 70/1, Inner Circular Road, Kakrail, Dhaka-1000 and I, (b) DR. YOUSUF
MAHABUBUL ISLAM, Managing Director, Soft Ed Ltd., Address : House No. 46,
Road No. 9/A, Dhanmondi, Dhaka, being unable to attend to our affairs we are
desirous of appointing as the fit and proper person to represent us for the
purpose hereinafter set forth. NOW KNOW ALL MEN BY THIS PRESENTS that we the
said two persons, do hereby nominate, constitute and appoint SALEH Z.
RAHMAN, Director, Softalk On Line (Pvt.) Ltd., Address : National Scout
Bhaban, 12th Floor, 70/1, Inner Circular Road, Kakrail, Dhaka-1000,
as attorney for us and in our
name and on our behalf to do and execute all or any of the following acts,
deeds and things, that is to say :-
1. To
make tender submitting, tender withdraw, tender maintaining and all other works
in related of tender.
2. To pay the fees depository participant
for the transaction for tender
purpose.
3. To Buy, Sell, Transfer, Pledge, Un-pledge, Confiscate,
Transmission and any tender at any time
at any place.
4. To declare and affirm all plaints, Written Statements,
Applications, Petitions, Affidavits and other necessary documents in our name
and on our behalf and to appear before any Judge, Magistrate or other officer
empowered by law to hear any suit or proceedings or any other enquiry relation
to any of the matters relating to us or in which we may be interested to the
tender purpose.

5. To
appoint and employ agents, attorneys, advocates, substitutes and/or other
persons as when necessary for tender business running purpose till valid of
this power of Attorney.

This power of attorney is
effective from 18th December, 2007.
AND we hereby for our self, our executors and
administrators agree to ratify and confirm all and whatsoever our said attorney
or any substitute acting under shall or
purpose to do or cause to be done by virtue of these presents.
